The President signed an amendment to the Commercial Register Act under which the registry court will record information on shareholders and authorized agents free of charge and automatically
An amendment to the Commercial Code introduces an obligation to supplement the Commercial Register with identification details of natural persons. This obligation applies to companies incorporated before 1 October 2020. Companies incorporated after 1 October 2020 are not subject to it, as they provided the required information at the time of their initial registration.
The purpose of the amendment is to reduce the administrative burden by ensuring that identification data are added automatically, without the need to file an application for registration of changes with the Commercial Register. The automated supplementation will be carried out only where there is no doubt as to the person’s identity.
The amendment takes effect on 1 December 2021.
For these purposes, “identification details” means a personal identification number or, where no personal identification number has been assigned (for example, in the case of foreign natural persons), another identification identifier. The requirement concerns identification details relating in particular to shareholders (including stockholders), statutory bodies (managing directors) and members of statutory bodies, members of supervisory bodies, liquidators, and similar persons.
Under the amendment, the Ministry of Justice of the Slovak Republic, as the administrator of the Commercial Register information system, will, in cooperation with the registry court, supplement the Commercial Register with up-to-date identification details free of charge and in an automated manner.
The registry court will notify the registered entity of the automated supplementation by sending a notice to its electronic mailbox, together with an extract from the Commercial Register, no later than 31 May 2022. If the registry court does not send such a notice by 31 May 2022, this will mean that it was not possible to complete the automated supplementation. In that case, the registered entity must file a free-of-charge application for registration in order to supplement the missing identification details in the Commercial Register. This free-of-charge application must be filed by 30 September 2022.
